Important Notice
The information contained on this page and subsequent pages (the "Information") is being disclosed by the Nuclear Decommissioning Authority (the "NDA") in connection with the possible disposal of NDA land to the north of the NDA's operational site at Sellafield, West Cumbria (the "Land"). By accessing the information, you agree to be bound by the following conditions and limitations.
The purpose of disclosing the Information is to assist interested parties in deciding whether to participate in the process for the sale of the Land (the "Process"). The disclosure of the Information does not constitute an agreement, offer or invitation for the sale, use or disposal of all or any part of the Land. No agreement on the sale of the Land shall be concluded, until authorised representatives of the Interested Party and the NDA have signed a binding agreement.
The Information, which does not purport to be comprehensive, has been provided by the NDA and has not been independently verified. While the Information has been prepared in good faith, no representation or warranty, express or implied, is or will be made and, so far as permitted by law, no responsibility or liability is or will be accepted by the NDA or by any of its respective officers, employees, advisers or agents in relation to the accuracy or the completeness of the Information or any other written or oral information made available to any interested party or its advisers and any such liability is expressly disclaimed. Each person who accesses the Information must make their own independent assessment of the Information after making such investigation and taking such professional advice as they deem necessary. The only information that will have any legal effect and/or upon which any person may rely will be such information (if any) as will be specifically and expressly warranted in the sale and purchase documentation at the time such documentation is executed.
Accordingly, neither the NDA nor any of its officers, employees, advisers or agents shall be liable for any direct, indirect or consequential loss or damage suffered by any person as a result of relying on any error, statement in or omission from the Information or any other written or oral communication with an interested party or its advisers in connection with the Process and any such liability is expressly excluded.
Nothing set out or referred to in the Information shall form the basis of any contract. The Information has been disclosed for information only and on the express understanding that those who access the Information (or any part of it) shall use it only for the purpose set out above.
The NDA does not give any undertaking to provide the recipient with access to any additional information or to update the Information or any additional information, or to correct any inaccuracies in it which may become apparent. The NDA reserves the right, without giving reasons, at any time, to; a) change any or all of the dates and/or procedures associated with the Process; b) terminate or alter the Process; or c) terminate or suspend an Interested Party's involvement in the Process and/or the delivery of the Information or access to Information at any time prior to the signing of any definitive sale and purchase documentation. The NDA reserves the right, without giving reasons, at any time to cease making the Information (or any part of it) available or to amend the basis for making the Information available or to change or supplement the Information (or any part of it) being made available.
The issue of the Information shall not be deemed to be any form of commitment on the part of the NDA to proceed with any transaction relating to the sale of all or any part of the Land.
All responses, proposals and submissions made to the NDA in relation to the Information and/or in connection with the Process are made at the risk of the interested party concerned. Neither the NDA nor any of its advisers shall be liable for any costs, expenses or liabilities incurred by any interested party (or any other person who may access the Information) in connection with the Process.
All intellectual property rights in the Information, and the information contained or referred to in it, shall remain the property of the NDA and its licensors and no interested party shall obtain any right, title or interest therein.
The NDA is subject to the application of the Freedom of Information Act 2000 and Environmental Information Regulations 2004 and as such may be obliged to disclose information it holds (including but not limited to any responses received from interested parties in connection with the Process) in response to requests for information, subject to any relevant exemptions. Further, the NDA may be required to disclose certain information in relation to the Process (including but not limited to any responses received from interested parties in connection with the Process) to relevant public authorities and also to a court in the course of legal proceedings or to any regulatory body in connection with the discharge of its functions.
The above terms shall not exclude any liability for, or remedy in respect of, fraudulent misrepresentation.
This notice will be governed by and construed in accordance with English law.
Under no circumstances should any Interested Party approach or enter into discussions with any director, officer or employee of the NDA in connection with the Information or the Process.
